Suncorp change of Trustee Capital Notes 3, Capital Notes 4 and Capital Notes 5

Suncorp Group Limited (ASX: SUN | ADR: SNMCY) ( Suncorp ) today advised that it has consented to a change in the Trustee of its Capital Notes 3, Capital Notes 4 and Capital Notes 5 programs, from Certane CT Pty Ltd ACN 106 424 088 ( MSC Certane ) to Melbourne Securities Corporation Limited ACN 160 326 545 ( MSC Trustees ), a holding company of MSC Certane with effect from 26 February 2026. The change has arisen following the changes in the ownership structure of the Trustee.

Suncorp advises that the legal rights of Holders in Capital Notes 3, Capital Notes 4 and Capital Notes 5 will not otherwise be affected by the change in Trustee.

This announcement, including the attached “Notice to Holders” for Capital Notes 3, Capital Notes 4 and Capital Notes 5 constitutes notice of the change of Trustee to all Noteholders.

Suncorp Group Limited Capital Notes 3 (SUNPH) issued under the Suncorp Capital Notes 3 Trust – change of trustee

In accordance with the notice provisions under clause 19 of the terms and conditions of the Suncorp Capital Notes 3 ( Terms ), as contained in Schedule 1 to the Suncorp Capital Notes 3 Trust Deed dated 19 November 2019 ( Trust Deed ), notice is hereby given by the Issuer to the holders of Suncorp Group Limited Capital Notes 3 ( Holders ) of the following:

1. The current Trustee, Certane CT Pty Ltd ACN 106 424 088 ( MSC Certane ), has notified the Issuer that it wishes to be replaced by Melbourne Securities Corporation Limited ACN 160 326 545 ( MSC Trustees ) (the holding company of MSC Certane) as the trustee of the Suncorp Capital Notes 3 Trust ( Trust ) established under the Trust Deed.

2. Pursuant to a Deed of Retirement and Appointment of Trustee between the Issuer, MSC Certane and MSC Trustees dated 26 February 2026, with effect on and from that date, MSC Trustees replaced MSC Certane as the Trustee of the Trust.

3. The notice details of MSC Trustees are as follows:

Suncorp Group Limited Capital Notes 4 (SUNPI) issued under the Suncorp Capital Notes 4 Trust – change of trustee

In accordance with the notice provisions under clause 19 of the terms and conditions of the Suncorp Capital Notes 4 ( Terms ), as contained in Schedule 1 to the Suncorp Capital Notes 4 Trust Deed dated 31 August 2021 ( Trust Deed ), notice is hereby given by the Issuer to the holders of Suncorp Group Limited Capital Notes 4 ( Holders ) of the following:

1.
