NOTICE UNDER SECTION 708AA(2)(f) OF THE CORPORATIONS ACT 2001 (CTH)

This notice is given by Suncorp-Metway Limited ABN 66 010 831 722 ( Suncorp ) under section 708AA(2)(f) of the Corporations Act 2001 (Cth) ( Corporations Act ) as modified by Australian Securities and Investment Commission Class Order 08/35 ( CO 08/35 ).

Suncorp has announced an accelerated non-renounceable entitlement offer of 1 fully paid ordinary share ( New Shares ) for every 5 Suncorp ordinary shares held as at 7.00 pm (AEDT) on the record date of 10 February 2009 by shareholders with registered addresses in Australia and New Zealand and any other shareholders in other jurisdictions to whom Suncorp decides to make offers.

Suncorp confirms that:

• 1 the New Shares will be offered for issue without disclosure to investors under Part 6D.2 of the Corporations Act;

• 2 the notice is being given under section 708AA(2)(f) of the Corporations Act as notionally modified by CO 08/35;

• 3 as at the date of this notice Suncorp has complied with the provisions of:

• (a) Chapter 2M of the Corporations Act as they apply to Suncorp; and

• (b) section 674 of the Corporations Act;

• 4 as at the date of this notice there is no excluded information within the meaning of sections 708AA(8) and 708AA(9) of the Corporations Act as notionally modified by CO 08/35 which is required to be disclosed by Suncorp; and

• 5 the issue of the New Shares is not expected to have any material effect or consequence on the control of Suncorp.
