Section 708A Cleansing Notice

The Directors of Stellar Resources Limited (ASX: SRZ , “ Stellar ” or the “ Company ”) advise that it has issued a total of 18,888,890 new fully paid ordinary shares ( Shares ) at an issue price of $0.009 (0.9 cents) per Share to the directors and a former director of the Company under the Placement announced to the market on 20 October 2023 and as approved by shareholders on 30 November 2023.

The Company confirms that:

• a) the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• b) the Company is providing this notice under section 708A(5)(e) of the Corporations Act:

• c) as at the date of this notice the Company, as a disclosing entity under the Corporations Act, has compiled with:

  • i. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii. section 674 of the Corporations Act as it applies to the Company; and

• d) as at the date of this announcement, there is no excluded information of the type referred to in Section 708A (7) and 708A (8) of the Corporations Act.

An Appendix 2A relating to this issue has been previously released which contains details of the Share issue.
