CERTIFICATE UNDER REGULATION 40(9) OF SECURITIES AND EXCHANGE BOARD OF INDIA (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015 (LISTING REGULATIONS)

FOR THE HALF YEAR ENDED 31[ST ] MARCH, 2020

I have examined all Share Transfer Deeds, Memorandum of Transfers, Registers, files and other documents relating to M/s SRF LIMITED (the Company (CIN: L18101DL1970PLC005197) maintained by M/s KFin Technologies Private Limited (formerly known as Karvy Fintech Private Limited) for the period from 1[st ] October, 2019 to 31[st] March, 2020 for the purpose of issuing a Certificate as per Regulation 40(9) of the Listing Regulations as the Company is listed on National Stock Exchange of India Limited and BSE Limited. Based on the information provided by the Company/ RTA, I hereby certify that-

• A) The Company has issued Share Certificates relating to the Share Transfer Deeds lodged prior to 1[st] April, 2019 and re-lodged thereafter, during 1[st ] October, 2019 to 31[st] March, 2020, as entered in the Memorandum of Transfers within 15 days from the date of receipt of complete documents for transfer and the company has also delivered Share Certificates within 21 days of receipt of request for transmission of shares.

• B) The request for duplicate, deletion of name, transposition and consolidation of Share Certificate were considered and entered in the register of members during the period 1st October, 2019 to 31st March, 2020. However, no request for sub-division (split), renewal/exchange of Share Certificate or endorsement of calls/allotment monies were received during the period under review.
