Pursuant to Regulation-31A of the SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015, the company has received a request from M/s. SMK Wellness Private Limited (“ Promoter Group ”) to reclassify them as “ Public Category ”.
The request for reclassification will be considered by the Board of Directors of the Company in their next board meeting.
The request letter received by the Company is attached for reference.

we, SMK Wellness Private Limited (formerly known as SMK Wellness LL9)("SMK") were included in the list of Promoters of SRF Limited by virtue of contribution to 50% of Partner's capital in SMK Wellness LLP by Rose Farms (Delhi) LLP which is one of the promoter group entities of SRF Limited 19-12-2024. The aforesaid contribution to 50% of Partner's capital was made on Thereafter after conversion of SMK Wellne LL into a private limited company, 50% of the paid-up capital was alotted to said Rose Farms (Delhi) [LP in 5MK Wellness Private Limited.
The said Rose Farms (Delhi LLP has since sold its entire stake in SMK Wellness Private Limited on 2l 03-2025 and thereby does not hold any equity stake or any irvestment in SMK Wellness Private Limited after that date
$MK has not been associated to the business or management of SRF Limited or any of the entities in the promoter group of SRF Limited. $MK do not have any right either to appoint any Director of SF Limited or any ability to control the management or policy decisions of SRF Limited in any manner LLP, A we whatsoever including by virtue of control, if any, exercised by Rose Farms (Delhi) ordingly, S4 t request you to declassify " from Promo er Group of SRF Limited with immediate effect.

3 whenever applicable we shall continue to comply with conditions mentioned at sub-clauses (i), (ii) and (i) of clause (b) of sub-regulation 31A03) of SE8 (Listing Obligations and Disclosure requirements), Regulations, 2015 as specified above at all times from the date of such re-classification failing which, we shall be reclassified as promoter/ persons belogi to promoter group of the Company

Rose Farms (Delhi) LLP shall be authorised to issue such undertakings, statements, etc. on behalf of $MK Wellne Private Limited as may be required to declassify SM Wellness Private Limited from the Promoter Group
