We wish to inform that the Board of Directors of the Company at its Meeting held today i.e. January 20, 2026, based on the recommendation of the Nomination and Remuneration Committee, have re-appointed Mr. Kartik Bharat Ram (DIN: 00008557) as Joint Managing Director for a further term starting from June 01, 2026 upto March 31, 2031 (both days inclusive), subject to approval of the Members at the forthcoming Annual General Meeting of the Company.

The disclosures as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11[th] November 2024, are provided in Annexure I to this letter.

3		Brief profile (in case of appointment)			Mr. Kartik Bharat Ram (54) is the Joint Managing Director of the Company. He graduated from Santa Clara University, California, and earned an MBA from Cornell University, New York. He has more than three decades of working experience in senior positions including in the Company’s International subsidiaries. He is also serving on the Board of the listed Companies like KAMA Holdings Limited and Kalyani Steels Limited. As Joint MD, he is involved in the creation and strengthening of a performance- based culture within the organization, through value-based leadership. He is also passionately involved in driving the aspirations of the company and an advocate on issues related to environmental responsibility and sustainability. With interests centered on human motivation, leadership, corporate transformation and accountability, Mr. Kartik Bharat Ram has successfully shaped SRF into a trusted corporate brand – one that is respected for its commitment to deliver sustainable growth through total excellence.
4		Disclosure of relationships between directors (in case of appointment of a director)			Mr. Kartik Bharat Ram is brother of Mr. Ashish Bharat Ram, Chairman & Managing Director of the Company and son of Mr. Arun Bharat Ram, Chairman Emeritus of the Company.
