Additionally, in accordance with Regulation 36(1)(b) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), the Company has also sent a letter to shareholders, whose e-mail IDs are not registered with Company/ RTA/DPs, providing the weblink of Company’s website from where the Annual Report 2024-25 can be accessed. The Company shall send a physical copy of the Annual Report 2024-25 to those Members who specifically request for the same at [email protected] mentioning their Folio No./ DP ID and Client ID. In compliance with the relevant provisions of the Companies Act, 2013 read with Rules made thereunder, Listing Regulations and Secretarial Standards, the Company is providing the facility of remote e-voting to the Members prior to the AGM and during the AGM in respect of the business to be transacted at the AGM. The Company has appointed National Securities Depository Limited (NSDL) for facilitating e-voting to all Members. The detailed instructions for remote e-voting are given in the Notice of the AGM. a. The Remote E-voting period shall commence on August 17, 2025 (09:00 A.M.) and end on August 20, 2025 (5:00 P.M.). The e-voting Module for voting shall be disabled by NSDL after the aforesaid date and time. b. The Voting rights of Members shall be in proportion to their share of the paid-up equity share capital of the Company as on Thursday, August 14, 2025 (‘Cut-off date’). A person whose name is recorded in the Register of Members/ Register of Beneficial Owners as on the cut-off date only shall be entitled to avail the facility of remote e-voting before or during the AGM. c. The facility of remote e-Voting system shall also be made available during the AGM and the Members attending the AGM, who have not already cast their vote by remote e-Voting shall be able to exercise their right during the AGM. Members who have cast their vote by remote e-Voting prior to the AGM may also attend the AGM electronically but shall not be entitled to vote again on such resolution(s). d. A non-individual shareholder or shareholder holding securities in physical mode, who acquires shares of the Company and becomes a Member of the Company after the dispatch of the Notice and holds shares as on the cut-off date, may obtain the User ID and Password for e-Voting by sending a request at [email protected]. However, if the Member is already registered with NSDL for remote e-Voting then he/ she can use his/her existing User ID and password for casting the vote. e. Individual shareholders holding securities in electronic mode and who acquire shares of the Company and become Member of the Company after dispatch of the Notice and hold shares as of the cut-off date may follow the login process detailed in the Notice of the AGM.
