With reference to the captioned subject, We would like to clarify that our company is claiming and utilizing exemption under Regulation 15(2) of Chapter IV of SEBI (Listing Regulations and Disclosure Requirements) Regulations, 2015, as the paid up equity share capital of Solitaire Machine Tools Limited (“the Company”) having registered office situated at A-24/25 Krishna Industrial Estate, Near BIDC, Gorwa, Vadodara – 390016, Gujarat, India, is not exceeding Rupees 10 Crore as on the last day of the year ending March 31, 2026.

Pai up Equity Share Capital as on 31[st] March, 2026: 4,54,21,760/- (Rs. Four Crore Fifty-Four Lakhs Twenty One Thousand Seven Hundred Sixty only)

Net Worth as on 31[st] March, 2025: 19,61,26,000/- (Rs. Nineteen Crore Sixty One lacs Twenty Six Thousand)

Since the audited figures for the year ended 31-03-2026 is still awaited, the exact figure of net worth cannot be stated.

Since, the Secretarial Compliance Report under Regulation 24A of SEBI Listing Regulations and Disclosure Requirements) Regulations, 2015 is not applicable to the Company and therefore Company is not required to submit Corporate Governance Report for year ended 31[st] March, 2026.

The Company also undertaken that as and when this regulation becomes applicable to our company later, the Company will comply with the requirements of the above regulations within six months from the date on which the provision becomes applicable to the Company.
