Item 2.02 Results of Operations and Financial Condition

On January 11, 2011, Smith Micro Software, Inc. issued a press release providing revenue guidance for fiscal 2011, and announcing preliminary estimates of fourth quarter and full year 2010 revenues. The full text of the press release is set forth in Exhibit 99.1 attached hereto.
