Mansion Holdings Limited (Incorporated in Bermuda with limited liability) Announcement Further to the teletext announcement released on 29th December, 1999, the board of directors of the Company wish to inform the shareholders of the Company that one of the substantial shareholders has dealt in the shares of the Company on 29th December and 30th December 1999. We refer to the trading volume of the shares of Mansion Holdings Limited (the "Company") which was 239,530,000 shares on 30th December, 1999. The Company was informed by one of its substantial shareholders, Search Pacific Limited, that its subsidiaries ("Search Pacific Group") had disposed of 128,150,000 shares today which constituted approximately 51% of the total turnover for the day. Further to the teletext announcement of the Company released on 29th December, 1999 at around 3:45 p.m., we also received notifications pursuant to Securities (Disclosure of Interests) Ordinance on 29th December, 1999 at around 9:00 p.m. and were informed by Search Pacific Group that they had disposed of 150,580,000 shares on 29th December, 1999. Search Pacific Group converted HK$7,873,767.62 notes into 78,737,676 shares of the Company at the conversion price of HK$0.10 each on 29th December, 1999. After such conversion of notes and the abovementioned share dealings on 29th December and 30th December 1999, the current shareholding structure of the Company is: Shareholder No. of shares Percentage Search Pacific Group 920,165,257 30.57% Prosperous Merchant Limited 780,000,000 25.91% Directors 93,131,683 3.09% Public 1,216,866,433 40.43% Total 3,010,163,373 100% Save for the above dealings by Search Pacific Group, the Company is not aware of any other reasons which resulted in the increases in the price and the trading volume of the shares of the Company on 29th December and 30th December 1999. We also confirm that there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
