Announcement

Further to the announcement dated 30th December, 1999, the
board of directors of the Company wish to inform the
shareholders of the Company that one of the substantial
shareholders and a director of the Company have dealt in the
shares of the Company.

This statement is made at the request of The Stock Exchange
of Hong Kong Limited.

The board of directors of the Company (the "Directors") refer
to the trading volume of the shares of Mansion Holdings
Limited (the "Company") which was 391,089,000 shares and
995,540,000 shares on 3rd January and 4th January, 2000
respectively. The Company was informed by one of its
substantial shareholders, Search Pacific Limited, that its
subsidiaries ("Search Pacific Group") had disposed of
158,366,880 shares and 271,780,000 shares which constituted
approximately 40.49% and approximately 27.3% of the total
turnover for the respective dates. Mr. Li Kwok Lung, Alfred
Ronald ("Mr. Li"), a director of the Company, has also
informed the Company that he has disposed of 5,000,000 shares
in the Company on 4th January, 2000 at the prices ranging
from HK$0.30 to HK$0.31.

Search Pacific Group subscribed warrants in the sums of
HK$8,000,000 and HK$3,800,000 for an aggregate of
118,000,000 shares in the Company at the subscription price
of HK$0.10 each on 3rd January, 2000 and 4th January, 2000.
After such subscriptions of warrants and the abovementioned
share dealings, the current shareholding structure of the
Company is:

Search Pacific Group and Prosperous Merchant Limited are
parties acting in concert and collectively maintain control
of the Company and there is no change in the management
despite of the aforesaid dealings by Search Pacific Group.

Save for the above dealings by Search Pacific Group and Mr.
Li, the Company is not aware of any other reasons which
resulted in the increases in the price and the trading volume
of the shares of the Company on 3rd January, 2000 and 4th
January, 2000.

We also confirm that there are no negotiations or agreements
relating to intended acquisitions or realisations which are
discloseable under paragraph 3 of the Listing Agreement,
neither is the Board aware of any matter discloseable under
the general obligation imposed by paragraph 2 of the Listing
Agreement, which is or may be of a price-sensitive nature.
