MANSION HOLDINGS LIMITED (Incorporated in Bermuda with limited liability) ANNOUNCEMENT The board of directors of the Company wish to inform the shareholders of the Company that a substantial shareholder of the Company has dealt in the shares of the Company. This Statement is made at the request of The Stock Exchange of Hong Kong Limited. Purple Gold Int'l Limited ("Purple Gold"), a subsidiary of Search Pacific Limited and a substantial shareholder of the Company, has informed the Company that Purple Gold disposed of 70,500,000 shares in the Company, representing approximately 2.24% of the existing share capital, on 28th January, 2000. After such disposal, Purple Gold held approximately 11.41% of the issued share capital of the Company. Save for the above dealings by Purple Gold, the Company is not aware of any other reasons which resulted in the increases in price and the trading volume of the shares of the Company on 28th January, 2000. We also confirm that there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
