$2.5M PLACEMENT SUCCESSFULLY COMPLETED TO DRIVE COMMERCIALISATION STRATEGY

Skin Elements Limited (ASX: SKN) ( Company ) is pleased to announce it has now completed the $2.5 million Placement with the issue of shares and options under the ‘Tranche Two’ placement of $2,185,000, to sophisticated and professional investors underway.

The shares will be allotted on 12 December at $0.002 per share, together with one free attaching unquoted option for every two shares issued, exercisable at $0.006 and having an expiry date of 12 Dec 2028.

Placement proceeds are to be applied to the Company’s commercialisation program for its award-winning SE Formula[TM] biotechnology, particularly the ECO Nurture natural plant bio stimulant, initially for use in the protection of kiwifruit orchards in New Zealand.

62 Capital Pty Ltd (62 Capital) acted as sole lead manager to the Placement.

With the Placement now complete, the Company is well funded and well placed to launch our commercialisation strategy for the ECO Nurture bio-stimulant product, initially for use in the protection of kiwifruit crops in New Zealand. This represents a significant market opportunity for ECO Nurture to be deployed on a commercial-scale as a sustainable, plant-based viable alternative to chemical-based sprays currently widely used in crop disease protection.

Our testing and trial programs have provided strong confidence in ECO Nurture’s efficacy, and we now look forward to implementing its commercial roll-out in the year ahead, via the funds raised in this Placement which will help facilitate and support the commercial launch.”

Placement Details

Tranche 1, raising $315,000, was completed in October 2025. The $2,185,000 (Tranche Two), comprising the issue of 1,092,500,000 Shares as well as the issue of a total of 625,000,000 Options (78,750,000 Tranche 1 Options & 546,250,000 Tranche 2 Options), have been issued in accordance with Shareholder approval received at its Annual General Meeting held on 28 November 2025.
