Section 249D Notice – Fourth Notice
Skin Elements Limited (Company) has received another notice under section 249D of the Corporations Act 2001 (Cth) (Section 249D Notice) from Kingsbury Wealth Pty Ltd (ACN 685 525 302) as trustee for the Kingsbury Investments Unit Trust (Kingsbury Wealth). Roderick Nicholas, a director of the Company, is also the sole director of Kingsbury Wealth. Kingsbury Wealth owns 7.3% of the ordinary shares in the capital of the Company.
The Section 249D Notice requisitions a general meeting of the Company seeking the:
- removal of each of Mr Stuart Usher, Mr Brett Fraser and Mr Robin Armstrong as a director of the Company; and
- appointment of each of Mr Frank Knezovic, Mr Gorakanage Ishan Malinda Peries and Mr Harry Michael Spindler as a director of the Company.
As announced to ASX in its announcement dated 22 April 2026, each of Messrs Usher, Fraser and Armstrong were recently appointed to the Company.
The meeting will be called within 21 days of the date that the Section 249D Notice was given to the Company and will be held no later than 2 months after the date that the Section 249D Notice was given to the Company, as is required by the Corporations Act.
The Company will provide a notice of meeting in due course.
