NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

Australian biotechnology company Skin Elements Limited (ASX:SKN) (SKN, the Company) has completed an allotment in the Company of 75,000,000 fully paid ordinary shares in the capital of the Company (Shares), issued on 18[th] December 2025, being the lead manager Shares as announced on 19[th] December 2025 in an appendix 2A.

A further allotment of 125,000,000 fully paid ordinary shares has also been made on conversion of unquoted options that were exercisable at $0.006 expiring 31 December 2028. The conversion shares were issued on 17[th] December 2025 with an Appendix 2A lodged with ASX today.

The Company gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) that:

• a.) The Company issued the Shares without disclosure under Part 6D.2 of the Corporations Act; and

• b.) As at the date of this notice, the Company has complied with:

  • i.) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

ii.) section 674 and section 674A of the Corporations Act; and

• c.) as at the date of this notice, there is no information that is “excluded information” (as defined in section 708A(7) of the Corporations Act) which is required to be disclosed by the Company in accordance with Section 708A(8) of the Corporations Act.
