NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

Australian biotechnology company Skin Elements Limited (ASX:SKN) (SKN, the Company) has completed an allotment in the Company of 3,971,238 fully paid ordinary shares in the capital of the Company (Shares) and 3,971,238 options (ASX:SKNOD) expiring 31 May 2026 exercisable at $0.025 to a sophisticated and professional investor who is a current shareholder of the Company. The securities were allotted on 22 June 2023 and included in an Appendix 2A lodged the same day. The securities represent oversubscriptions to an entitlement issue prospectus dated 5[th] April 2023.

The Company gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) that:

• a.) The Company issued the Shares and Options without disclosure under Part 6D.2 of the Corporations Act; and

• b.) As at the date of this notice, the Company has complied with:

  • i.) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii.) section 674 of the Corporations Act; and

• c.) As at the date of this notice, there is no "excluded information" as defined in sections 708A(7) and (8) of the Act.
