NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

Australian biotechnology company Skin Elements Limited (ASX:SKN) (SKN, the Company) has completed an allotment in the Company of 20,000,000 fully paid ordinary shares in the capital of the Company (Shares) and 20,000,000 options (ASX:SKNOD) expiring 31 May 2026 exercisable at $0.025. The securities have been issued to various sophisticated and professional investors. The securities were allotted on 1 November 2023 with an Appendix 2A lodged.

The Company gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) that:

• a.) The Company issued the Shares and Options without disclosure under Part 6D.2 of the Corporations Act; and

• b.) As at the date of this notice, the Company has complied with:

  • i.) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii.) section 674 of the Corporations Act; and

• c.) As at the date of this notice, there is no "excluded information" as defined in sections 708A(7) and (8) of the Act.
