APPENDIX 3B - PLACEMENT

Skin Elements Limited (SKN) is pleased to advise that it has completed a placement under its LR7.1 and LR7.1A capacity raising $300,000 in total. SKN provides the following information in accordance with LR3.10.5A in relation to the placement of 3,348,214 ordinary fully paid shares under the Company's existing approved LR7.1A capacity (Placement).

a. On completion the dilutive effect of the Placement on existing shareholders is as follows:
