Section 249D Notice

Skin Elements Limited ( Company ) has received a notice under section 249D of the Corporations Act 2001 (Cth) ( Section 249D Notice ) from Kingsbury Wealth Pty Ltd (ACN 685 525 302) as trustee for the Kingsbury Investments Unit Trust ( Kingsbury Wealth ). Roderick Nicholas, a director of the Company, is also the sole director of Kingsbury Wealth. Kingsbury Wealth owns 7.3% of the ordinary shares in the capital of the Company.

The Section 249D Notice requisitions a general meeting of the Company seeking the removal of Mr Filippo (Phil) Giglia as a director of the Company. The Company is considering and obtaining advice in respect of the Section 249D Notice and will update its shareholders as to the outcome of the review in due course in accordance with the Listing Rules.
