Subject: Intimation of receipt of non-binding Letter of Intent for potential strategic investment & Stake Sale of 20%

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform the Exchange that Silverline Technologies Limited (“the Company”) has received a non-binding Letter of Intent (“LOI”) from Trueledger Technologies FZE , a UAE-based technology research and holding company.

The LOI indicates Trueledger Technologies FZE’s preliminary interest in exploring a potential strategic investment of up to 20% stake in the Company, subject to applicable laws, regulatory requirements, internal approvals, and execution of definitive agreements.

The proposed investment is intended to provide strategic exposure to the Company’s artificial intelligence–led initiatives . Since the Company is a listed entity, the final transaction structure, including the mode of investment, valuation, and rights (if any), shall be determined in compliance with applicable regulations and after due consideration by the Company’s Board of Directors.

The LOI is non-binding in nature and is intended solely to facilitate discussions between the parties. At this stage:

• No binding agreement has been executed

• No consideration or valuation has been finalized

• There is no certainty that the discussions will result in a concluded transaction

The Company will evaluate the proposal in accordance with applicable laws and will make appropriate disclosures to the Exchange(s), as and when required.
