The Company issued 1,449,525 shares of Issuer common stock to Tigress Holdings, LLC ("Tigress") on November 16, 2021 and thereafter Tigress distributed 1,218,760 shares of Issuer common stock to the Reporting Person. The Reporting Person is the manager of Tigress. The Reporting Person resigned as a Director of the Company and her positions with its affiliates on October 18, 2022. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.
