Dear Sirs,

This has reference to our disclosure dated 7[th] November, 2023 wherein we had informed that the Board of Directors of Shree Cement Limited in its meeting held on 7[th] November, 2023 considered and approved the amalgamation of Shree Cement North Private Limited (“ Wholly Owned Subsidiary 1 ”) and Shree Cement East Private Limited (“ Wholly Owned Subsidiary 2 ”) (herein after referred as “ Transferor Companies” ), with the Company (“ Transferee Company ” or “Company” ) pursuant to Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“ Act ”).

The scheme is presently pending for sanction with National Company Law Tribunal (“ NCLT” ), Jaipur Bench and Kolkata Bench.

The Board of Directors of the Company and Transferor Companies (Wholly Owned Subsidiary 1 and 2) in their respective meetings held today i.e. on 21[st] March, 2024 reviewed the scheme considering revised investment strategy of the group & other considerations and decided to withdraw the said Scheme of Amalgamation.

Consequently, application for withdrawal of the existing scheme will be filed with NCLT, Jaipur Bench and Kolkata Bench.
