NOTICE UNDER ASIC CLASS ORDER [CO 09/425]

Sheffield Resources Limited (ACN 125 811 083) (ASX: SFX) ( Company ) gives this notice in accordance with ASIC Class Order [CO 09/425].

The Company will make offers to issue fully paid ordinary shares under a share purchase plan (announced to ASX on 27 November 2015) without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) (the Act ).

As at the date of this notice, the Company has complied with:

• a) the provisions of Chapter 2M of the Act as they apply to the Company; and

b) section 674 of the Act.

As at the date of this notice, there is no excluded information for the purposes of sections 708A(7) and (8) of the Corporations Act.
