We hereby submit the outcome of the meeting of Board of Directors of the Company held today (December 20, 2019) at the Registered Office of the Company at Srinivas Towers, No.5, Cenotaph Road, II Floor, Teynampet, Chennai-600018. The Meeting commenced at 04.00 PM and concluded at 5:30 PM, inter-alia, have considered and approved the following:

Appointment of Mr. Desikan Balaji as Additional Director Independent Category of the Company.

We are delighted to have Mr. Desikan Balaji (DIN 08296716) joining the Board of 8K Miles Software Services Limited. He is an Advocate and a corporate law consultant. He is a Qualified Cost Accountant and an Associate Member of Chartered Institute of Arbitration, United Kingdom and he has qualified the Advanced Arbitration Course conducted by the Association for International Arbitration. He holds a post- graduation diploma in Intellectual Property Rights from National Law School, Bangalore. He is the managing partner at DB Law Chambers specializing in Corporate laws. He has been providing advisory and consulting on Corporate laws for more than a decade.

He has ten years of experience in teaching corporate laws at various institutes, various colleges and Corporates in Chennai. He has written several books published by eminent publishers and articles in professional magazines and journals.

He has no relationship between Directors or Key Managerial Personnel of the Company.

The Board believes that his induction will add lot of value and expertise in corporate governance and compliances for the Company.

Resignation of Mr. Vivek Prakash as Independent Director of the Company.

Mr. Vivek Prakash proposed to work as a consultant in our US subsidiary in the areas for strengthening Corporate finance, Governance and mitigating risk control. Hence Mr. Vivek Prakash has submitted his resignation vide letter dated 20[th] December 2019. His resignation was accepted by the Board of Directors of the Company at its meeting held on 20[th] December 2019.
