Sub: Disclosure of Audit Committee’s views on Auditor’s resignation Ref: Para 6(C)(iii) SEBI Circular No. CIR/CFD/CMD1/114/2019 dated October 18, 2019

This has reference to our earlier stock exchange intimation letter reference No. 8K/CHN/2019-20/E050 dated 18[th] November, 2019 regarding intimation of resignation of M/s. Deloitte Haskins & Sells LLP, Chartered Accountants, the Statutory Auditors (Firm Registration No. 117366W/W-100018) of the Company on 15th November 2019.

The Audit Committee members had deliberated the resignation of Deloitte Haskins & Sells LLP at the audit committee meeting held on December 06, 2019 (Friday). The Audit Committee has discussed the issues raised by the statutory auditors and the management has confirmed that they have provided all the documents as requested and the visit by audit team to the offices of subsidiary companies and client offices were also facilitated. Further necessary traverse were made to the allegations of suspected offences involving fraud and due explanations and rejoinder were given by the management to the Company. With respect to the subsidiary accounts, the management has confirmed that same is being audited by another auditor of the domicile of the subsidiary and that the audited financial statements have been furnished to the statutory auditors of the company for the purpose of consolidation.
