Issue of Shares
Intec Ltd (ASX Code: INL) advises that Grange Securities Limited and RFC Corporate Finance Ltd, the Joint Lead Managers of INL's recent A\$7 million placement, and the underwriter (Grange Securities Limited) and certain sub-underwriters of INL's recent A\$5 million Share Purchase Plan (SPP), have elected to accept INL shares (at the issue price of A\$0.069 each) as payment for the placement management fees and the SPP underwriting and sub-underwriting fees respectively.
In respect of the above fees, the Board has therefore now allotted 2,103,202 INL shares.
An Appendix 3B New Issues Announcement in relation to the issue is attached.
Notice Under Section 708A(5)(e)
INL advises that on 3 and 7 February 2005 it resolved to issue a total of 2,103,202 fully paid ordinary shares at an issue price of A\$0.069 per share (New Shares).
INL gives notice that:
- this notice is being given under Section $708A(5)(e)$ of the Corporations Act 2001 $(1)$ (Corporations Act);
- INL issued the New Shares without disclosure to investors under Part 6D.2 of the $(2)$ Corporations Act;
- $(3)$ as at the date of this notice, INL has complied with:
- $(a)$ the provisions of Chapter 2M of the Corporations Act as they apply to INL; and
- $(b)$ section 674 of the Corporations Act; and
- $4)$ except as may be set out in this notice, there is no other information that is excluded information as at the date of this notice which is required to be set out in this notice under Section $708A(6)(e)$ of the Corporations Act.
