CEO Resignation and Appointment of new Chief Executive Officer

SciDev Ltd (ASX:SDV) ("the Company") today announces a planned leadership transition following a structured succession process, with the transition effectively immediately. Seán Halpin will step down as Managing Director and Chief Executive Officer (CEO), after five years with the Company, including four years as CEO.

The Board has appointed Todd Scott, the Company's Chief Financial Officer, as Chief Executive Officer, effective immediately.

Seán Halpin will remain available to the Company in an advisory capacity until 30 June 2026 to support a smooth and orderly transition.

Mike Utsler, Chair of SciDev Limited, said "On behalf of the Board, I thank Seán for his contribution to the Company over the past four years. During his tenure the Company progressed its transition from a commodity-based chemical provider to a higher-value, solutions-led organisation. The platforms and systems established during this period have positioned the Company well for its next phase of growth."

The Board is pleased to appoint Todd Scott as CEO effective immediately. "Todd has served as the Company's Chief Financial Officer since October 2025 and is playing a key role in the Company's strategic transformation, strengthening capital allocation discipline and driving improved operational performance. The Board has full confidence in Todd's ability to lead the Company and maintain momentum in executing our strategy."

Todd Scott said, "I am honoured to be appointed CEO and look forward to leading the Company's next phase of growth. SciDev has a strong platform and significant opportunities ahead. I am committed to maintaining execution discipline and delivering sustainable value for shareholders. I would also like to acknowledge Seán for his leadership and support."

To ensure continuity of financial oversight, the Board has appointed John Gardiner as Interim Chief Financial Officer, effective immediately, while a process is undertaken to confirm a permanent CFO appointment.

The Company will be holding an Investor Day on 17th June 2026 in Sydney to provide an update on the Company's strategy.
