Issue Under Employee Share Option Plan
Following the 2005 Annual General Meeting and approval by shareholders, and as part of the Company's planned incentivisation under Intec's Employee Option Plan, 3,462,725 options were granted to the five Directors who held office throughout the financial year ended 30 June 2005 and two former directors who held office during part of the financial year ended 30 June 2005 and continue to perform consulting services to the Company.
These comprised 318,419 options granted to the Company's Chairman Mr Richard H Jenkins, 1,014,590 options granted to the Company's Managing Director and Chief Executive Officer Mr Philip R Wood, 804,832 options granted to the Company's Technical Director Mr A John Moyes, 329,783 options granted to Non-executive Director Mr Ian W Ross and 335,535 options granted to Non-executive Director Mr Kenneth J Severs. Mr J Philip Evans (Non-executive Director, until his resignation on 1 April 2005, following which he continues to provide engineering consultancy services to the Hellyer Metals Project) was granted 329,783 options and Mr Gordon L Toll (Nonexecutive Director, until his resignation on 16 December 2004, following which he was an alternate director for Mr Ian Ross until 27 September 2005 and has now agreed to perform some consulting services in the coming 12 months) was granted 329,783 options.
The options are for a period of five years, expire on 24 February 2010 and the option exercise price is A\$0.069.
Under Intec's Employee Option Plan 1,726,631 options issued to a former employee have now expired following his resignation from the Company.
A copy of Appendix 3B as required by Listing Rule 3.10 is attached as well as Appendix 3Y Change of Directors' Interest Notices in respect of Mr Richard H Jenkins, Mr Philip R Wood, Mr A John Moyes, Mr Ian W Ross and Mr Kenneth J Severs.
