Pursuant to Regulation 29 of SEBI (Listing obligation and disclosure Requirements) Regulations, 2015, kindly note that a meeting of the Board of Directors of the Company is scheduled to be held on Tuesday, 09th day of June 2026 at 04:15 PM at registered office of the company i.e. Scan Projects Limited, # Vill. Kanjnu, tehsil Radaur, Yamuna Nagar - 135114, Haryana to approve the Date, Time, Venue, and Mode (VC/OAVM) for conducting the Extraordinary General Meeting (EGM) / NCLT-convened meeting of Shareholders as per NCLT directions and approve the Draft Notice of the EGM along with the Explanatory Statement under Section 230(3) of the Companies Act, 2013.

In accordance with 'Insider Trading Code 2015' of the Company, pursuant to the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, the 'Trading Window' for dealing / trading in the equity shares of the Company, was closed with effect from June 3, 2026, for the purpose of Issue Notice of EGM as convened by NCLT, Chandigarh Bench. Accordingly, Trading window shall remain closed till 48 hours after uploading outcome of BoD on BSE portal i.e. till June 11, 2026.

Notice is hereby given that the Meeting of the Board of Directors of the Company “Scan Projects Limited will be held on Tuesday, June 09th 2026 at 04:15 PM at the registered office of the Company (i.e. Vill. Kanjnu, Tehsil Radaur, Distt Yamuna Nagar135114 (Haryana) to take up the following business:

1. To appoint the Chairman of the Meeting.
2. To grant leave of absence, if any.
3. To confirm and sign the minutes of the previous Board Meeting.
4. To approve the Date, Time, Venue, and Mode (VC/OAVM) for conducting the Extraordinary General Meeting (EGM) / NCLT-convened meeting of Shareholders as per NCLT directions.
5. To approve the Draft Notice of the EGM along with the Explanatory Statement under Section 230(3) of the Companies Act, 2013.
6. To fix the Cut-Off Date for determining the eligibility of shareholders to vote, and to approve the Remote E-voting period.
7. To note the appointment of the Chairman and Scrutinizer appointed by the Hon’ble NCLT for the meeting.
8. To authorize the Company Secretary / Director to issue the EGM Notice, publish newspaper advertisements, and serve notices to Statutory Authorities (RoC, RD, Income Tax, SEBI/Stock Exchanges), wherever applicable.
9. To transact any other business with the permission of the Chair.
