Ahl sell Danmark ApS has received dispensation from the obligation to make an offer to the shareholders in Sanistál A/S

Ahlsell Danmark ApS hereby announces that Ahlsell Danmark ApS has received a dispensation from the obligation to publish a mandatory offer to the shareholders in Sanistál A/S from the Danish Financial Supervisory Authority. Reference is made to Ahlsell Danmark ApS' announcement dated 22 December 2022 as published by Sanistál A/S by its company announcement no. 17/2022.

The dispensation is granted on the basis of Ahlsell Danmark ApS' initiation of a compulsory acquisition of the minority shareholders in Sanistál A/S on 2 January 2023. The compulsory acquisition is being made at DKK 85 per share. The compulsory acquisition is expected to complete on 7 February 2023 upon which Ahlsell Danmark ApS will own 100% of the shares in Sanistál A/S.

The dispensation from the Danish Financial Supervisory Authority is attached to this announcement.

Accordingly, no mandatory offer will be made for the minority shareholders' shares in Sanistál A/S.
