ANNOUNCEMENT OF MATERIAL EVENT

Sonae Capital hereby informs that, through its subsidiary S.I.I. SOBERANA – INVESTIMENTOS IMOBILIÁRIOS, S.A., has executed a Promissory Purchase & Sale Agreement regarding a real estate asset in Tróia designated in Tróia Detailed Plan as "UNOP 3", for the global amount of 20 million Euros, with LAGUNE TROIA, S.A. a fully owned subsidiary of LAGUNE, a company incorporated under the French law. Lagune is a long-term real estate investment vehicle dedicated to both the leisure and healthcare assets throughout Europe. As of today, Lagune has assets under management over six European countries for a global amount of c. 1.5 billion euros.

LAGUNE TROIA, S.A´s. will develop a luxury resort in "UNOP3", enhancing the quality of the projects to be developed in the region.

Once again, the selection of this investment assumes our concern to carefully fit each project to the peninsula's heritage and of its surroundings.
