SIGNA 2018 Eins GmbH (FN 486105 k) hat am 18.4.2018 als Verkäuferin einen Kaufvertrag über 4.869.681 Aktien der Emittentin S IMMO AG (FN 58358 x), ISIN AT0000652250, mit der IMMOFINANZ AG, FN 114425y, abgeschlossen. SIGNA 2018 Eins GmbH wird durch die Familie Benko Privatstiftung (FN 209416 s) indirekt über SIGNA Holding GmbH, FN 191343 m, und SIGNA 2018 Zwei GmbH, FN 486103 h, kontrolliert.
Das Closing der Transaktion steht unter aufschiebenden Bedingungen, insbesondere dem Vorliegen der fusionskontrollrechtlichen Genehmigung in den relevanten Jurisdiktionen.
Auf die Beteiligungsmeldung vom 18.4.2018 wird verwiesen. Gemäß Beteiligungsmeldung vom 18.4.2018 soll das Closing bis längstens 1.10.2018 (Long Stop-Datum) erfolgen.
Mit Abänderungsvertrag vom 20.08.2018 haben die Parteien vereinbart, dass das Long Stop-Datum auf 30.11.2018 geändert wird. Zu sonstigen Änderungen ist es nicht gekommen. Die bisherige Beteiligungsmeldung ist daher im Übrigen unverändert aufrecht
und wird auf diese verwiesen.
