Subject: Outcome of Board Meeting

This is to infom, that the Board of Directors of the Company has, at its meeting held on Friday, September 20, 2024 (i.e. today), inter-alia, considered and approved the following items:

• 1) The elevation of Mr. Rushil K. Thakkar (DIN: 06432117) as Managing Director and re-designation of his position as Managing Director w.e.f. September 29, 2024, for remaining period of his tenure, subject to approval by the Members of the Company.

• 2} Re-designation of Mr. Krupesh G. Thakkar (DIN: 01059666) as a Whole-Time Director (Executive Director} of the Company, for the remaining period of his tenure, subject to approval by the Members of the Company.

Mr. Krupesh G. Thakkar, Chairman and Managing Director of the Company expressed his desire to relinquish his position as Managing Director of the Company from the end of the day September 28, 2024. The Board acceded to his desire and has also requested him to continue as the chainnan of the company. Further, Mr. Krupesh G. Thakkar (DIN: 01059666) would continue as Chairman and Whole-Time Director (Executive Director) on the Board of the Company for the remaining period of his tenure.

The details as required under SEBI (Listing Obligations and Disclosure Requirements} Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/2023/120 dated 11th July, 2023 along with the brief profiles of Mr. Rush II K. Thakkar and Mr. Krupesh G. Thakkar are given in Annexure - A to this letter.

3) To postpone the incorporation of subsidiary company in the name of "Rushil Fasteners Private Limited"

In the Board Meeting held on 6[th ] July, 2024, the Company decided for Incorporation of Subsidiary Company in the name of Rushll Fasteners Private Limited, which was duly intimated to the stock exchanges on July 06, 2024, vide letter no. RDU034/2024-25. However, the board has decided in their meeting held on today to postpone the incorporation of the said subsidiary Company due to unforeseen circumstances.

The meeting was commenced at 04:15 PM and concluded at 7:15 PM.
