Sub: Withdrawal of proposed Preferential Issue of 11,76,47,070 (Eleven Crore Seventy Six Lakhs Forty Seven Thousand and Seventy ) Convertible Equity Warrants ("Warrants") of face value of Rs.1/- each, to non- promoter group persons / entities

Dear Sir/Ma’am,

In compliance with the provisions of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015, we wish to inform that the Board of Directors of the company has, at its meeting held today i.e. Wednesday, March 12, 2025, inter -alia, amongst other subjects considered and approved the following:

• 1Withdrawal & Cancel of Preferential issue of 11,76,47,070 warrants convertible into Equity Shares of the Company which was approved by the Board of Directors of the Company in their Board Meeting held on 20[th] April 2024.

The Board of Directors of the Company at their meeting held on April 20, 2024 had considered the Preferential Issue of 11,76,47,070 warrants convertible into equity shares and the said Preferential Issue was also approved by the shareholders of the Company at their Extra- Ordinary General Meeting held on May 16, 2024.

The Company made its application for an “In-principal Approval” for the proposed issue with the BSE Limited (“BSE”) and the NSE Limited (“NSE”). The Company has received the In-principal Approvals from BSE and NSE on February 25, 2025.

Following these approvals, the Company circulated the Private Placement Offer cum Application Letter (Form PAS-4) on February 27, 2025. However, the proposed allottees have withdrawn their consent to subscribe to the warrants, citing delays in opening the preferential offer .The proposed allottees indicated

their decision to withdraw their subscription due to the prolonged time gap, which had caused a change in their financial and strategic priorities.

Given that these allottees represented a significant portion of the proposed issue, their withdrawal has substantially impacted the size and feasibility of the preferential issue. Accordingly, the Board has considered and approved to withdraw the above said proposal of preferential issue.

Hence, we wish to inform you that the Preferential Issue of 11, 76, 47,070 Convertible Equity Warrants hereby stands withdrawn for the above-cited reasons.

We recognize the significance of maintaining transparency with our stakeholders. We want to ensure you that this withdrawal will not impact the financial stability, operations, or growth prospects of the Company.

The meeting of the Board of Directors of the Company commenced at 05:00 p.m. and concluded at 05:30 p.m.
