Director Resignation and AGM Resolutions Update
24 May 2022 –Delta Drone International Limited (ASX: DLT) , DLT or the Company, a global dronesas-a-service provider, advises of changes to the Board and resolutions to be considered at the upcoming Annual General Meeting (AGM) on Tuesday 31 May 2022 at 2:00 pm (WST).
Director resignation
Clive Donner has resigned his position as Non-Executive Director of Delta Drone International Limited with immediate effect. Accordingly, his nomination to stand for re-election (Resolution 3) at the upcoming AGM has been withdrawn.
Withdrawal of several resolutions pertaining to performance rights and options
Board has decided to withdraw the following resolutions which were to be considered for approval at the upcoming AGM.

Resolution 7 – issue of performance rights to Eden Attias as a director

Resolution 8 – issue of performance rights to Clive Donner as a director

Resolution 9 – issue of performance rights to Stephen Gorenstein as a director

Resolution 11 – issue of options to Clive Donner as a director

Resolution 12 – issue of options to Stephen Gorenstein as a director

Resolution 13 – issue of options to Eden Attias as a director
DLT Executive Chairman Eden Attias said : “Clive has been a valuable member of our Board and during this time used his broad business experience to guide management as the Company continued to grow its drone-based services in Australia. We will miss his guidance and wish him the best.
While the Company attained a number of important goals and milestones in FY2021 as highlighted in the FY2021 Annual Report - Chairman and CEO letters, the Board is very conscious of all aspects of remuneration and takes shareholder opinion and feedback seriously, which it received in recent weeks. Accordingly, the Board has reconsidered its position with regard to remuneration benefits for certain Directors and has chosen to take a more conservative approach to the granting of performance rights and options. This has resulted in the Board deciding to cancel issuing additional performance rights and options for certain Directors at this time, thereby limiting future shareholder dilution.“
Votes cast pertaining to the withdrawn resolutions of the AGM will be discarded.
