Announcement of Resolutions Passed at the Meeting of the Fifth Supervisory Committee

A meeting of the fifth supervisory committee of Luoyang Glass Company Limited (the “Company”) was held at the Reception Room of the Company on 1st Floor, No. 9 Tang Gong Zhong Lu, Xigong District, Luoyang, Henan Province, the PRC at 10:00 a.m. on 25 April 2007. Five out of the five eligible supervisors attended the meeting. The meeting was presided over by the chairman of supervisory committee Mr. Tao Shanwu, at which the following matters were considered and approved as resolutions:

1. To consider and approve the Work Report of Supervisory Committee of the Company for 2006;

2. To review and approve the 2006 Annual Report of the Company and its summary;

3. To consider and concur with the Board’s explanation to the unqualified auditors’ report which included an explanatory paragraph on the business results of the Company for 2006 issued by GuangDong HengXin Delu Certified Public Accountants CO., LTD and Ting Ho Kwan & Chan, Certified Public Accountants (Practising).

As at the date of this announcement, the Board comprises six executive Directors: Mr. Liu Baoying, Mr. Zhu Leibo, Mr. Zhang Shaojie, Mr. Zhu Liuxin, Mr. Jiang Hong and Mr. Ding Jianluo, and four independent non-executive Directors: Mr. Zhang Zhanying, Mr. Guo Aimin, Mr. Xi Shengyang and Mr. Dong Chao.
