IMPORTANT INFORMATION

This is a supplementary prospectus (Supplementary Prospectus) intended to be read with the prospectus dated 23 March 2012 (Prospectus) and the replacement prospectus dated 5 April 2012 (Replacement Prospectus), relating to the shares of SVC Group Limited ACN 009 161 522 (the “Company”).

This Supplementary Prospectus is dated 7 May 2012 was lodged with ASIC on that date. ASIC and its officers take no responsibility for the contents of this Supplementary Prospectus. Other than as set out below, all details in relation to the Prospectus and Replacement Prospectus remain unchanged. Terms and abbreviations defined in the Prospectus and Replacement Prospectus have the same meaning in this Supplementary Prospectus. If there is a conflict between the Prospectus, the Replacement Prospectus and this Supplementary Prospectus, this Supplementary Prospectus will prevail. This Supplementary Prospectus will be issued with the Prospectus and Replacement Prospectus as an electronic prospectus and may be accessed on the Company’s website at www.svcgroup.com.au and the Company will send a copy of this Supplementary Prospectus to all Applicants who have subscribed for Shares in the Prospectus and Replacement Prospectus to the date of this Supplementary Prospectus.

This is an important document and should be read in its entirety. If you do not understand it you should consult your professional advisers without delay.

APPLICATION TO ASX FOR QUOTATION OF SHARES

The second paragraph of Section 2.10 , “Key Risks” of the Replacement Prospectus is replaced by the following:

“The Company applied to ASX for quotation of the securities offered under this Prospectus on 2 May 2012.”

OPTION TAKEN BY OFFEROR UNDER SECTION 724 (2)(a)

SVC Group Limited (the Offeror) has, due to it becoming aware that the disclosure document condition as described in 711(5) has not been met, decided that the Offer will be dealt with in accordance with 724(2)(a) whereby application monies will be repaid to the applicants. No further funds will be raised through this Prospectus.

DIRECTORS’ AUTHORISATION

This Supplementary Prospectus is issued by the Company and its issue has been authorised by a resolution of the Directors. In accordance with Section 720 of the Corporations Act, each Director has consented to the lodgment of this Supplementary Prospectus with the ASIC.
