1.	Notice is hereby given that pursuant to Sections 108, 110 of the Companies Act, 2013 (the "Act"), read			with the
	Companies (Management and Administration) Rules, 2014 (the "Rules"), as amended from time	to	time, and other
	applicable provisions of the Act and the Rules, also read with General Circular No. 14/2020 dated April			8, 2020,
	Circular No. 17/2020 dated April 13, 2020, Circular No. 09/2024 dated September 19, 2024 and other			relevant
	circulars issued by the Ministry of Corporate Affairs (hereinafter collectively referred to as "MCA Circulars"),
	Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
	Regulations, 2015 ("Listing Regulations"), Secretarial Standard on General Meetings issued	by	the Institute of
	Company Secretaries of India ("SS-2") and other applicable laws, rules and regulations (including any			statutory
	modification or re-enactment thereof for the time being in force and as amended from time to time), R			Systems
	International Limited ("R Systems"/ "Company") seeks consent of the members on the following special resolution
	through Voting by Electronic Means ("Postal Ballot");

	1 To make investments, give loans and advances, guarantees and provide securities	beyond the
	prescribed limits under Section 186 of the Companies Act, 2013.
2.	In compliance with MCA Circulars, the Company has completed the dispatch of electronic copies of the Postal Ballot
	Notice along with Explanatory Statement and instruction for Remote e-Voting on June 06, 2025 to all the members
	whose e-mail addresses are registered with the Company/ Registrar and Share Transfer Agent or	with the respective
	Depositary Participants. The physical copy of the Notice along with the Postal Ballot Form and pre-paid			business
	reply envelope are not being sent to the members for this Postal Ballot. The communication of the assent or dissent
	of the Members would only take place through the Remote e-Voting system.
3.	Members may note that the Postal Ballot Notice is also available on the Company's Website https://www.rsystems.com/
	websites of the stock exchanges i.e. National Stock Exchange of India Limited and BSE Limited at	www.nseindia.com
	and www.bseindia.com, respectively and on the website of MUFG Intime India Private Limited ("MIIPL") at
	https://instavote.linkintime.co.in/.
4.	The Company has engaged MIIPL for the purpose of providing the Remote e-Voting facility to all the members.
	Members whose names were recorded in the register of members of the Company or in the Register of beneficial
	owners maintained by the Depositories as on June 05, 2025 ("Cut-off Date") will be entitled to		cast their vote
	electronically. The Remote e-Voting will commence at 9:00 A.M. (IST) on Monday, June 09, 2025 and end at 5:00 P.M.
	(IST) on Tuesday, July 08, 2025. The e-voting module shall be disabled by MIIPL thereafter.
5.	The Board of Directors of the Company has appointed M/s. DPV & Associates LLP, Company Secretaries (Firm
	Registration No.: L2021HR009500) represented by Mr. Devesh Kumar Vasisht, as the scrutinizer ("Scrutinizer") for
	conducting the remote e-voting process of Postal Ballot in a fair and transparent manner.
6.	The result of the Postal Ballot will be announced on or before Thursday, July 10, 2025, at the Registered Office of the
	Company. The result of the Postal Ballot will be submitted to the Stock Exchanges where shares of the Company are
	listed and will also be posted on the Company's website, www.rsystems.com and on the MIIPL			website,
	www.evotingindia.com
