POSTAL BALLOT NOTICE

1. Notice is hereby given to the Members of R Systems International Limited (" Company"/ "R Systems ") that the pursuant to Sections 108 and 110 of the Companies Act, 2013 read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014, as amended from time to time, read with the General Circular Nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, Circular No. 20/2021 dated December 8, 2021, 3/2022 dated May 5, 2022 read with other relevant circulars including General Circular No. 11/ 2022 dated December 28, 2022 and 09/2023 dated September 25, 2023, (collectively the " MCA Circulars ") in relation to extension of the framework provided in the aforementioned General Circulars up to September 30, 2024, issued by the Ministry of Corporate Affairs (" MCA " and the circulars issued by MCA are collectively referred to as " MCA Circulars ") and applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, including any statutory modification(s), amendment(s) or re-enactment(s) thereof for the time being in force and as may be enacted hereinafter, the Company seek the consent of members on the businesses as set out in notice of postal ballot through voting by electronic means (" Postal Ballot Notice ").

2. In compliance with applicable circulars issued by MCA and SEBI, the Company has completed the dispatch of Postal Ballot Notice along with Explanatory Statement and instructions for voting through electronic mode to all the members whose e-mail addresses are registered with the Company/ Registrar and Share Transfer Agent or with the respective Depositary Participants. The physical copy of the Notice along with the Postal Ballot Form and pre-paid business reply envelope shall not be sent to the members for this Postal Ballot. The communication of the assent or dissent of the Members would only take place through the remote e-voting system .

3. Members may note that the Postal Ballot Notice will also be available on the Company's Website https://www.rsystems.com/, websites of the stock exchanges i.e. National Stock Exchange of India Limited and BSE Limited at www.nseindia.com and www.bseindia.com, respectively and on the website of Link Intime India Private Limited (" LIIPL ") at https://instavote.linkintime.co.in/.

4. Members whose names were recorded in the register of members of the Company or in the register of beneficial owners maintained by the Depositories as on Friday, October 13, 2023 ("Cut-off Date") will be entitled to cast their vote through e-voting. The voting process through electronic means will commence at 09.00 A.M. on Tuesday, October 17, 2023 and will end at the close of working hours i.e. by 05:00 P.M. on Wednesday, November 15, 2023. The e-voting module shall be disabled by LIIPL thereafter. The e-voting facility will be provided by LIIPL.

5. The Board of Directors of the Company has appointed Mr. Devesh Kumar Vasisht of DPV & Associates LLP, Company Secretaries (Firm Registration No.: L2021DE009500) as the Scrutinizer for conducting the Postal Ballot voting process in a fair and transparent manner.

6. The result of Postal Ballot will be announced on or before Friday, November 17, 2023 at the Registered Office of the Company. The result of the Postal Ballot will be submitted to the Stock Exchanges where shares of the Company are listed and will also be posted on the Company's website, www.rsystems.com and on the LIIPL website, https://instavote.linkintime.co.in/.
