深圳证券交易所：

经中国证券监督管理委员会(以下简称“中国证监会”)“证监许可【2019】 287号”文核准，云南震安减震科技股份有限公司(以下简称“发行人”或“震安 科技”或“公司”)不超过2,000万股社会公众股公开发行已于2019年3月12日刊 登招股说明书。根据发行结果，本次公开发行股票数量确定为2,000万股，全部 为新股发行。发行人已承诺在发行完成后将尽快办理工商变更登记手续。作为云 南震安减震科技股份有限公司首次公开发行股票并在创业板上市的保荐机构，民 生证券股份有限公司(以下简称“保荐机构”、“保荐机构（主承销商）”或“民 生证券”)认为云南震安减震科技股份有限公司申请其股票上市完全符合《中华 人民共和国公司法》、《中华人民共和国证券法》及《深圳证券交易所创业板股票 上市规则》的有关规定，特推荐其股票在贵所上市交易。现将有关情况报告如下：

一、发行人概况

（二）设立情况

1、震安科技的设立

公司为云南震安减震技术有限公司（以下简称“震安有限”）整体变更设立 的股份有限公司。

震安有限成立于2010 年1 月4 日，成立时注册资本为人民币157.00 万元。 2014 年10 月31 日，震安有限股东会审议并通过了公司整体变更为股份公 司的决议，同日，震安有限全体股东签署《发起人协议》，同意以经审计的震安 有限在审计基准日2014 年9 月30 日的净资产人民币250,228,162.44 元，按 4.1705：1 的比例折合股本，其中60,000,000 元折为股份公司股本60,000,000 股（每股面值为人民币1.00 元），余额190,228,162.44 元转入资本公积，震安 有限整体变更为股份公司，公司注册资本6,000 万元人民币。2014 年11 月14 日，信永中和会计师事务所（特殊普通合伙）出具XYZH/2014KMA3019-1 号《验 资报告》。

2014 年12 月3 日，云南省工商行政管理局向公司核发了注册号为 530111100059664 的《企业法人营业执照》，注册资本6,000.00 万元，法定代表 人为李涛。

2015 年6 月25 日，李涛等14 名自然人股东缴纳了整体变更时以盈余公积、 未分配利润转增股本应缴纳的个人所得税909.91 万元。

2、发起人

发行人由震安有限以整体变更方式设立，原震安有限的全体股东即为发起 人，并按原出资比例持有发行人股份。

震安有限系由尹傲霜、潘文、张志强、樊文斌与丁航共同出资设立，设立时 注册资本为157 万元人民币。

公司是国内领先的建筑隔震整体解决方案供应商，主要从事建筑隔震橡胶支 座的研发、生产、销售，并提供隔震咨询，隔震设计，隔震橡胶支座安装指导、

更换、维护等相关技术服务。目前，公司已经形成了以建筑隔震咨询及隔震设计 为引导，建筑隔震产品为核心，隔震产品安装指导、更换、维护为外延服务的全 周期产品服务体系。

二、申请上市股票的发行情况

发行人本次公开发行前总股本为6,000 万股，本次发行采用网上向社会公众 投资者定价发行的方式。根据发行价格和募集资金投资项目所需资金量，本次发 行股票总量为2,000 万股，发行后发行人总股本为8,000 万股，本次发行全部为 新股，无老股转让。

公司首次公开发行前已直接或间接持有的公司股份，也不由公司回购该部分股 份。

（2）若上述三十六个月期满后，在李涛持有本公司股份且担任震安科技董 事或高管期间，本公司每年转让的股份不超过所持有震安科技股份总数量的25%； 在李涛离职后半年内，不转让本公司持有的震安科技股份。

（3）震安科技股票发行并上市后六个月内如果震安科技股票连续二十个交 易日的收盘价均低于发行价，或者上市后六个月期末（2019 年9 月30 日）收盘 价低于发行价，本公司持有的震安科技公开发行股份前已发行的股份的锁定期限 将自动延长六个月。在延长锁定期内，本公司不转让或者委托他人管理本公司直 接或者间接持有的震安科技公开发行股票前已发行的股份，也不由震安科技回购 本公司直接或者间接持有的震安科技公开发行前已发行的股份。公司上市后发生 除权除息事项的，以相应调整后的价格为基数（下同）。

（4）本公司所持有震安科技公开发行股份前已发行的股份在上述锁定期期 满后两年内将进行股份减持，减持股份数量为不超过本公司所持股份数的40%； 并且本公司承诺减持价格（指复权后的价格）不低于发行价，若低于发行价的， 本公司的减持所得收入归震安科技所有。

（5）本公司所持有或者实际持有的震安科技股票锁定期满后,本公司若通过 证券交易所集中竞价交易方式减持的，本公司将提前十五个交易日向证券交易所 报告并预先披露减持计划，在任意连续九十个自然日内，减持股份的总数不超过 公司股份总数的百分之一；采用大宗交易方式减持的，在任意连续九十个自然日 内，减持股份的总数不得超过公司股份总数的百分之二；采用协议转让方式减持 的，单个受让方的受让比例不得低于公司股份总数的百分之五。

（6）本公司将遵守《上市公司股东、董监高减持股份的若干规定》（中国证 券监督管理委员会公告[2017]9 号），深圳证券交易所《股票上市规则》、《深圳 证券交易所上市公司股东及董事、监事、高级管理人员减持股份实施细则》的相 关规定。若中国证监会及深圳证券交易所对减持事宜有新规定的，本公司将严格 遵守相关规定执行。

（7）本公司现时所持有或者实际持有的震安科技股份，均不存在质押、冻 结等权利受限制的情况，也不存在任何权属纠纷。

本承诺人将遵守上述股份锁定承诺，若本承诺人违反上述承诺的，本承诺人

转让直接或间接持有的公司公开发行股票前已发行的股份的所获增值收益将归 公司所有。

2、本公司实际控制人李涛承诺：

（1）如果震安科技首次公开发行股票并上市成功，自震安科技股票在深圳 证券交易所创业板上市之日起三十六个月内，本人将不转让或委托他人管理本人 在公司首次公开发行前已直接或间接持有的公司股份，也不由公司回购该部分股 份。

（2）上述三十六个月期满后，在本人担任震安科技董事、监事或高管期间， 每年转让的股份不超过本人所持有震安科技股份总数的25%；离职后半年内，不 转让本人所持有的震安科技股份。本人在震安科技首次公开发行股票上市之日起 六个月内申报离职的，自申报离职之日起十八个月内不转让本人直接持有的震安 科技股份；在震安科技首次公开发行股票上市之日起第七个月至第十二个月之间 申报离职的，自申报离职之日起十二个月内不转让本人直接持有的震安科技股 份。本人自离职信息申报之日起六个月内所增持的震安科技股份按照上述规定予 以锁定。

（3）震安科技上市后六个月内如果震安科技股票连续二十个交易日的收盘 价（指复权后的价格，下同）均低于发行价，或者上市后六个月期末收盘价低于 发行价，本人持有的震安科技公开发行股份前已发行的股份的锁定期限将自动延 长六个月。在延长锁定期内，不转让或者委托他人管理本人直接或者间接持有的 震安科技公开发行股票前已发行的股份，也不由震安科技回购本人直接或者间接 持有的震安科技公开发行前已发行的股份。本人不因职务变更或离职等原因放弃 履行此承诺。

（4）本人所持有震安科技公开发行股份前已发行的股份在上述锁定期期满 后两年内将减持不超过本人所持有股份数的40%；本人承诺减持价格（指复权后 的价格）不低于发行价，若低于发行价的，本人的减持所得收入归震安科技所有。

（5）本人所持有或者实际持有的震安科技股票锁定期满后,本人若通过证券 交易所集中竞价交易方式减持的，本人将提前十五个交易日向交证券交易所报告 并预先披露减持计划，在任意连续九十个自然日内，减持股份的总数不超过公司 股份总数的百分之一；采用大宗交易方式减持的，在任意连续九十个自然日内， 减持股份的总数不得超过公司股份总数的百分之二；采用协议转让方式减持的，

单个受让方的受让比例不得低于公司股份总数的百分之五。

（6）本人将遵守《上市公司股东、董监高减持股份的若干规定》（中国证券 监督管理委员会公告[2017]9 号），深圳证券交易所《股票上市规则》、《深圳证 券交易所上市公司股东及董事、监事、高级管理人员减持股份实施细则》的相关 规定。若中国证监会及深圳证券交易所对减持事宜有新规定的，本人将严格遵守 相关规定执行。本人不会因职务变更、离职等原因而拒绝履行上述承诺。

（7）本人现时所持有或者实际持有的震安科技股份，均不存在质押、冻结 等权利受限制的情况，也不存在任何权属纠纷。

3、其他股东的锁定承诺

公司股东北京丰实联合投资基金（有限合伙）（以下简称“北京丰实”）、 深圳市平安创新资本投资有限公司（以下简称“平安创新”）、广发信德投资管 理有限公司（以下简称“广发信德”）、昆明中金人和壹投资合伙企业（有限合 伙）（以下简称“中金人和”）、佰利泰（北京）投资有限公司（以下简称“佰 利泰”）、潘文、高凤芝、赵莺、梁函、刘兴衡、韩绪年承诺：

（1）如果震安科技首次公开发行股票并上市成功，自震安科技股票在深圳 证券交易所创业板上市之日起十二个月内，本人将不转让或委托他人管理本人在 公司首次公开发行前已直接或间接持有的公司股份，也不由公司回购该部分股 份。

（2）本人所持有的震安科技股票锁定期满后,本人若通过证券交易所集中竞 价交易方式减持的，在任意连续九十个自然日内，减持股份的总数不超过公司股 份总数的百分之一；采用大宗交易方式减持的，在任意连续九十个自然日内，减 持股份的总数不得超过公司股份总数的百分之二；采用协议转让方式减持的，单 个受让方的受让比例不得低于公司股份总数的百分之五。

（3）本人将遵守《上市公司股东、董监高减持股份的若干规定》（中国证 券监督管理委员会公告[2017]9 号），深圳证券交易所《股票上市规则》、《深 圳证券交易所上市公司股东及董事、监事、高级管理人员减持股份实施细则》的 相关规定。若中国证监会及深圳证券交易所对减持事宜有新规定的，本人将严格 遵守相关规定执行。

（4）本人现时所持有或者实际持有的震安科技股份，均不存在质押、冻结 等权利受限制的情况，也不存在任何权属纠纷。

4、本公司董事、监事和高级管理人员的锁定承诺

本公司董事廖云昆、董事龙云刚、监事张雪、监事尹傲霜、高级管理人员张 志强承诺：

（1）如果震安科技首次公开发行股票并上市成功，自震安科技股票在深圳 证券交易所创业板上市之日起十二个月内，本人将不转让或委托他人管理本人在 公司首次公开发行前已直接或间接持有的公司股份，也不由公司回购该部分股 份。

（2）上述十二个月期满后，在本人担任公司董事、监事或高管期间，每年 转让的股份不超过本人所持有震安科技股份总数的25%；本人离职后半年内，不 转让本人所持有的震安科技股份；本人在震安科技首次公开发行股票上市之日起 六个月内申报离职的，自申报离职之日起十八个月内不转让本人直接持有的震安 科技股份；在震安科技首次公开发行股票上市之日起第七个月至第十二个月之间 申报离职的，自申报离职之日起十二个月内不转让本人直接持有的震安科技股 份。本人自离职信息申报之日起六个月内所增持的震安科技股份按照上述规定予 以锁定。

（3）发行人上市后六个月内如果发行人股票连续二十个交易日的收盘价（指 复权后的价格，下同）均低于发行价，或者上市后六个月期末收盘价低于发行价， 本人持有的发行人公开发行股份前已发行的股份的锁定期限将自动延长六个月。 在延长锁定期内，不转让或者委托他人管理本人直接或者间接持有的发行人公开 发行股票前已发行的股份，也不由发行人回购本人直接或者间接持有的发行人公 开发行前已发行的股份。本人不因职务变更或离职等原因放弃履行此承诺。

（4）本人所持发行人公开发行股份前已发行的股份在上述锁定期满后两年 内减持，本人承诺减持价格（指复权后的价格）不低于发行价，若低于发行价的， 则本人减持价格与发行价之间的差额由震安科技在现金分红时从分配当年及以 后年度的现金分红中予以先行扣除，且扣除的现金分红归震安科技所有。

（5）本人所持有的震安科技股票锁定期满后,本人若通过证券交易所集中竞 价交易方式减持的，在任意连续九十个自然日内，减持股份的总数不超过公司股 份总数的百分之一；采用大宗交易方式减持的，在任意连续九十个自然日内，减 持股份的总数不得超过公司股份总数的百分之二；采用协议转让方式减持的，单 个受让方的受让比例不得低于公司股份总数的百分之五。

（6）本人将遵守《上市公司股东、董监高减持股份的若干规定》（中国证券 监督管理委员会公告[2017]9 号），深圳证券交易所《股票上市规则》、《深圳证 券交易所上市公司股东及董事、监事、高级管理人员减持股份实施细则》的相关 规定。若中国证监会及深圳证券交易所对减持事宜有新规定的，本人将严格遵守 相关规定执行。本人不会因职务变更、离职等原因而拒绝履行上述承诺。

（7）本人现时所持有或者实际持有的震安科技股份，均不存在质押、冻结 等权利受限制的情况，也不存在任何权属纠纷。

三、保荐机构对公司是否符合上市条件的说明，针对上市条件逐

条发表意见

发行人股票上市符合《中华人民共和国证券法》、《深圳证券交易所创业板股 票上市规则》规定的上市条件：

• （一）本次股票发行申请经中国证监会核准，并已公开发行；

• （二）本次发行后公司股本总额为8,000 万元，不少于人民币3,000 万元；

• （三）本次公开发行股票数量为2,000 万股，占公司发行后股本总数的25%，

不低于发行人发行后总股本的25%；

• （四）本次发行后公司股东总人数不少于 200 人；

• （五）公司最近三年无重大违法行为，财务会计报告无虚假记载；

• （六）深圳证券交易所要求的其他条件。

四、保荐机构是否存在可能影响公正履行保荐职责情形的说明

经核查，民生证券作为保荐机构不存在下列可能影响公正履行保荐职责的情 形：

• （一）保荐机构或其控股股东、实际控制人、重要关联方持有发行人或其控

• 股股东、实际控制人、重要关联方股份的情况；

• （二）发行人或其控股股东、实际控制人、重要关联方持有保荐机构或其控

• 股股东、实际控制人、重要关联方股份的情况；

• （三）保荐机构的保荐代表人及其配偶，董事、监事、高级管理人员拥有发

• 行人权益、在发行人任职等情况；

• （四）保荐机构的控股股东、实际控制人、重要关联方与发行人控股股东、

实际控制人、重要关联方相互提供担保或者融资等情况；

（五）保荐机构与发行人之间的其他关联关系。

五、保荐机构按照有关规定应当承诺的事项

（一）本保荐机构通过尽职调查和对申请文件的审慎核查，已在证券发行 保荐书中做出如下承诺：

1、本保荐机构已按照法律、行政法规和中国证监会的规定，对发行人及其 控股股东、实际控制人进行了尽职调查、审慎核查，同意推荐发行人证券发行上 市，并据此出具发行保荐书；

2、有充分理由确信发行人符合法律法规及中国证监会有关证券发行并上市 的相关规定；

3、有充分理由确信发行人申请文件和信息披露资料不存在虚假记载、误导 性陈述或者重大遗漏；

4、有充分理由确信发行人及其董事在申请文件和信息披露资料中表达意见 的依据充分合理；

5、有充分理由确信申请文件和信息披露资料与证券服务机构发表的意见不 存在实质性差异；

6、保证所指定的保荐代表人及本保荐机构的相关人员已勤勉尽责，对发行 人申请文件和信息披露资料进行了尽职调查、审慎核查；

7、保证保荐书、与履行保荐职责有关的其他文件不存在虚假记载、误导性 陈述或者重大遗漏；

8、保证对发行人提供的专业服务和出具的专业意见符合法律、行政法规、 中国证监会的规定和行业规范；

9、自愿接受中国证监会依照《证券发行上市保荐业务管理办法》采取的监 管措施；

10、自愿接受中国证监会规定的其他事项。

六、对公司持续督导期间的工作安排

（一）持续督导事项	在本次发行结束当年的剩余时间及以后3个完整会计年 度内对发行人进行持续督导。
1、督导发行人有效执行并完善防 止大股东、其他关联方违规占用发 行人资源的制度	强化发行人严格执行中国证监会有关规定的意识，协助 发行人制订、执行有关制度；与发行人建立经常性信息 沟通机制，确保保荐机构对发行人关联交易事项的知情 权，持续关注发行人相关制度的执行情况及履行信息披 露义务的情况。
2、督导发行人有效执行并完善防 止高管人员利用职务之便损害发 行人利益的内控制度	协助和督导发行人有效执行并进一步完善内部控制制 度；与发行人建立经常性信息沟通机制，持续关注发行 人相关制度的执行情况及履行信息披露义务的情况。
3、督导发行人有效执行并完善保 障关联交易公允性和合规性的制 度，并对关联交易发表意见	督导发行人尽可能避免和减少关联交易，若关联交易为 发行人日常经营所必须或者无法避免，督导发行人按照 《公司章程》等规定执行，对重大的关联交易本保荐机 构将按照公平、独立的原则发表意见。
4、督导发行人履行信息披露的义 务，审阅信息披露文件及向中国证 监会、证券交易所提交的其他文件	与发行人建立经常性信息沟通机制，督促发行人负责信 息披露的人员学习有关信息披露的规定，适时审阅发行 人信息披露文件。
5、持续关注发行人募集资金的使 用、投资项目的实施等承诺事项	定期跟踪了解项目进展情况，通过列席发行人董事会、 股东大会，对发行人募集资金项目的实施、变更发表意 见，关注对募集资金专用账户的管理。
6、持续关注发行人为他方提供担 保等事项，并发表意见	严格按照中国证监会有关文件的要求规范发行人担保 行为的决策程序，要求发行人对所有担保行为与保荐机 构进行事前沟通。
（二）保荐协议对保荐机构的权 利、履行持续督导职责的其他主要 约定	规定保荐机构有权通过多种方式跟踪了解发行人规范 运作情况；保荐机构有权按月向发行人提出持续督导工 作询问函，发行人应即时回函答复
（三）发行人和其他中介机构配合 保荐机构履行保荐职责的相关约 定	发行人应对保荐机构在持续督导期间的工作给予充分 配合；发行人应提供与律师事务所、会计师事务所等中 介机构畅通的沟通渠道和联系方式等。
