BOARD CHANGES

Pro-Pac Packaging Limited ( PPG or the Company ) advises that:

• Due to his other Board commitments, Dr Gary Weiss, a Non-Executive Director of the Company, will be retiring as a Director in accordance with the Company's constitution at the upcoming Company's Annual General Meeting scheduled for 27 November 2017 and will not be standing for re-election.

• Mr Ahmed Fahour, currently Non-Executive Chairman of PPG, will become Executive Chairman of the Company effective from the EGM scheduled for 27 October 2017.

The Board sincerely thanks Dr Weiss for his valuable contribution to the Company over the past 5.5 years and particularly, his invaluable support and advice on the Company’s strategic direction, including acquisitions and investments.

The Board proposes to appoint Mr Rupert Harrington, Chairman of Integrated Packaging Group, Advent Pty Limited and other public companies, as a Non-Executive Director, following completion of the IPG merger as previously announced. Mr Harrington has extensive financial and M&A experience.

Mr Fahour became Non-Executive Chairman of PPG on 25 November 2014. With the conclusion of his previous Executive role following a significant turnaround and repositioning of that organisation under his leadership, Mr Fahour is to assume the role of Executive Chairman of PPG, to assist with the merger of Integrated Packaging Group and transitioning of the company to a major international flexible packaging manufacturer and distributor.

The Board intends during the year to appoint an additional Independent Non-Executive Director.
