IMPLEMENTATION OF THE NEW CORPORATE GOVERNANCE

APPOINTMENT OF THE NEW CHIEF EXECUTIVE OFFICER

Collegno (TO), December 16, 2022 – The Board of Directors of Prima Industrie S.p.A., a leading company operating in the high-tech sector of laser systems and sheet metal processing and electronics components for industrial applications, met today to implement the resolutions relevant to the new Company governance, announced on last December 7, following the change of control occurred.

In particular, the Board acknowledged the waiver of powers by Ezio Giovanni Basso (up to now Chief Executive Officer), who will continue to cooperate with the Company alongside the new Chief Executive Officer for the purpose of an appropriate handover, and has appointed Giovanni Negri as new Chief Executive Officer, granting to the same broad management powers.

The Board of Directors has also granted to the President, Gianfranco Carbonato, operational powers (replacing existing ones); he therefore maintains the role of Executive Chairman.

Finally, the Board acknowledged the renunciation of powers by the Deputy Chairman, Domenico Peiretti, who therefore takes the role of non-executive Deputy Chairman, while maintaining executive powers, revised and integrated with respect to the current ones, in other Group companies.

It is specified that Mr. Ezio Giovanni Basso, due to the waiver of his powers and his commitment in the company aimed at handing over the duties, will maintain the fixed remuneration until the natural expiry of the office and, in line with the provisions of the remuneration policy, will maintain the variable component referring to the year 2022 and, depending on the term of office, also the possible attribution of the medium-long term share incentive, valued monetarily on the basis of the offer price. Mr. Domenico Peiretti will only maintain the remuneration relating to the role of nonexecutive director, without prejudice to the variable remuneration referring to 2022 and the remuneration received for his executive roles within the subsidiaries.
