A news release disclosing the nature and substance of the material change described herein was issued on March 12, 2021 and disseminated through the GlobeNewswire news distribution service.
4. Summary of material change
On March 12, 2021, an account managed by Goldman Sachs Asset Management L.P. disposed of and surrendered to Prairie Provident 44,711,330 common shares of the Company, representing approximately 25.9% of the total number of common shares previously outstanding, for nominal consideration. All such shares were thereupon cancelled.
5. Full description of material change
On March 12, 2021, an account managed by Goldman Sachs Asset Management L.P. disposed of and surrendered to Prairie Provident 44,711,330 common shares of the Company, representing approximately 25.9% of the total number of common shares previously outstanding, for nominal consideration. All such shares were thereupon cancelled.
The transaction removed all 44,711,330 common shares from Prairie Provident's outstanding share capital and correspondingly increased the proportionate equity interest of all remaining shareholders. After giving effect to the cancellation, with respect to which Prairie Provident did not incur any material expenditure, there are 128,014,081 common shares left outstanding.
