Re: Company update on Merger of Promoter Companies

We refer to our letter dated 07.06.2024 w.r.t Merger of Promoter Companies, we would like to inform that the entire holding of Highclass Trading Private Limited (24,842 equity shares i.e. 6.15%) and Delmar Trading Co. Private Limited (9,425 equity shares i.e. 2.33%) in Polychem Limited has been transferred to Virsun Investments Private Limited on 10.06.2024 in lieu of National Company Law Tribunal (NCLT), Mumbai order dated 16[th] May, 2024 received by the Company on 28[th] May, 2024 w.r.t scheme of amalgamation under section 232 read with section 230 of Companies Act, 2013.

In lieu of the above, you are requested to note that the promoter count of the Company is reduced to 7 from 9 as attached in Annexure A. Also, as informed earlier, the aggregate shareholding of promoter and promoter group before and after the said merger remains same:
