Share Purchase Plan

The Directors of Soil Sub Technologies Ltd (ASX: SOI ) (“ Soil Sub ” or “Company”) announced earlier today that it had entered into a conditional non-binding terms sheet for the acquisition of 100% of Perth, WA based company Pointerra Pty Ltd (“ Acquisition ”) .

The Directors of Soil Sub are also pleased to announce that the Company will be undertaking a Share Purchase Plan (“ SPP ”) to provide certain existing shareholders with an opportunity to increase their holding in the Company and to raise up to $500,000.

Participation in the SPP is optional and will be open to shareholders registered as at 5.00pm WST on Wednesday 16 September 2015 with a registered address in Australia or New Zealand (“ Eligible Shareholders ”).

Under the SPP, Eligible Shareholders will be able to purchase up to $15,000 worth of fully paid ordinary shares in the Company (“ New Shares ”) at an issue price of a 20% discount to the volume weighted average market price of Soil Sub shares over the last 5 days on which sales are recorded on ASX before the day of issue (rounded up to the nearest hundreth of a cent), irrespective of the size of their shareholding, without incurring brokerage or transaction costs.

The proceeds from the SPP will be used primarily to fund expenses of the Acquisition including costs associated with the recompliance with Chapter 1 & 2 of ASX listing Rules.

The Company has confirmation from ASX that the New Shares issued under the SPP (including those placed under any shortfall which will be subject to shareholder approval) will be quoted.
