Dear Sir/Madam,

SOIL SUB TECHNOLOGIES LIMITED (ASX: SOI) – CAPITAL RAISING AND s708A(5)(e) CLEANSING NOTICE

The Company wishes to announce a capital raising for the amount of $305,000 via the issue of 30.5 convertible notes as per terms stated in resolution 3 of the Notice of Meeting for the Extraordinary General Meeting held 16[th] August 2013.

In addition, 8 convertible notes (face value of $10,000 per convertible note) have also been issued within the capacity allowed for under resolution 3 of the Notice of Meeting for the Extraordinary General Meeting held 16[th] August 2013, to satisfy amounts accrued and owing to creditors.

A selection of note holders have elected to convert 34.5 convertible notes into 345,000,000 shares and 172,500,000 free attaching options as per terms stated in the Notice of Meeting for the Extraordinary General Meeting held 16[th] August 2013.

Information under section 708(5)(e) of the Corporations Act

The Company gives this notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) (“ Act ”) and advises that the Shares were issued without disclosure to investors under Part 6D.2 of the Act. The Company, as at the date of this notice, has complied with:

• (a) the provisions of Chapter 2M of the Act as they apply to the Company;

• (b) section 674 of the Act; and

• (c) as at the date of this notice, there is no information to be disclosed which is excluded information (as defined in section 708A(7) of the Corporations Act) that is reasonable for investors and their professional advisers to expect to find in a disclosure document.

As at the date of this notice there is no information that is excluded information for the purposes of sections 708A(7) and (8) of the Act.
