In compliance with Regulation 30 of the Listing Regulations, we hereby inform you that the Board of Directors of the Company at their meeting held today i.e. March 26, 2024, commenced at 01:42 P.M. and concluded on 02:34 P.M., has, inter-alia , considered and approved:

• a. Re-designation of Mr. Chandra Prakash, Chief Financial Officer as ‘Chief Financial Officer & Chief Information Security Officer’ w.e.f. 01.04.2024.

• b. Appointment of Sh. Gopal Singh Gusain (DIN: 03522170) as an Additional Director and designated him as an Independent Director of the Company for a period of three (3) years w.e.f. March 26, 2024, subject to the requisite approval of members of the Company.

It may be noted that Sh. Gopal Singh Gusain have confirmed that he is not debarred from holding the office of director by virtue of any order passed by the Securities and Exchange Board of India or any other such authority.

3	Brief Profile	Sh. Gopal Singh Gusain, a graduate in science, an associate member of Institute of Cost and Management Accountants of India, a Certified Associate Member of Indian Institute of Bankers (CAIIB) from IIBF and he also holds various certifications in treasury, Investment and Risk Management from Indian Institute of Bankers. Sh. Gusain is a banker having vast experience in every aspect of banking. He started his professional journey with Bharat Heavy Electricals Limited (BHEL) as an accounts officer in February 1990 to October 1994. Thereafter, he joined Punjab National Bank (PNB) in Oct ‘94 and served PNB for 28 years in Credit, Recovery, Risk, Compliance, Information Technology and International Banking. As career banker from Punjab National Bank, he worked in various capacities as Chief Credit officer, Chief Risk officer, Chief Compliance officer, Chief Executive (Hong Kong operations). In September 2018, he was elevated as Executive Director (ED) of Union Bank of India (UBI) and superannuated in January, 2022. During his tenure as ED, he handled the Human Resource, Corporate Credit, International Banking, Treasury and also headed team for implementation of merger of Andhra Bank and Corporation Bank into UBI.
