Subject: Changes in the Supervisory Board of PKO Bank Hipoteczny S.A.Legalbasis: Art. 56 par. 1 pt. 2 of the Act on Public Offering - current andperiodic information
Content:According to the paragraph 5.5 of the Regulation of theMinister of Finance dated 29 March 2018 on current and periodicinformation published by issuers of securities and on the conditionsunder which such information may be recognized as being equivalent toinformation required by the regulations of law of a state which is not amember state, the Management Board of PKO Bank Hipoteczny S.A. ("Bank")hereby informs that on May 24, 2024, the Bank's Extraordinary GeneralMeeting:
1) dismissed Mr Tomasz Baum as a member of the Bank's Supervisory Boardat the end of the day May 28,2024,
2) appointed Ms. Iwona Brzozowska-Poniedzielska as the Member of theBank's Supervisory Board for a common term of office of the Bank'sSupervisory Board starting May 29, 2024,
3) appointed Mr. Robert Ciborowski as the Member of the Bank'sSupervisory Board for a common term of office of the Bank's SupervisoryBoard starting May 29, 2024.Iwona Brzozowska-Poniedzielska holds adoctorate in economics. She completed her doctoral studies at theCollegium of Management and Finance at the Warsaw School of Economics(WSE) in the field of economics. She is a graduate of postgraduatestudies in Credit Risk Management organized by the WSE. She has alsocompleted ACCA Postgraduate Studies in Accounting _amp; Finance organized bythe Business School of the Warsaw University of Technology.
She has long-standing expert experience in the area of banking sectoranalysis, and financial market regulation design and analysis. Shegained her professional experience in managerial positions in both theprivate sector, in the area of controlling and public administration, aswell as in the banking sector - PKO BP. She managed the Banking SectorDivision at the Ministry of Finance, with primary responsibility forregulations in the area of banking law, mortgages, covered bonds,non-performing loans, capital bonds and securitization.
She was a member of expert groups at the European Commission, includingthe field of non-performing loans and a member of the higher-levelworking group on the regulatory treatment of sovereign exposures. Shewas involved in the negotiation of EU legislation in the field offinancial market. She was responsible, among other things, fornegotiating the directive on the issue of covered bonds and covered bondpublic supervision and then the draft amendments to the act on coveredbonds and mortgage banks.
From November 2017 to September 2021, she served as Deputy Chairman ofthe Examination Commission for Mortgage Loan Intermediary operating atthe Polish Financial Supervision Authority. In 2019-2020, she was anobserver at the Supervisory Committee of the GPW Benchmark S.A. forWIBOR/WIBID benchmarks. From March 2022 to January 2024, she held aposition of a member of the Supervisory Board and of the Audit Committeeof Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych. Currently she acts asDeputy Director in the Economic Analysis Department at the Ministry ofState Assets. She is mainly responsible for economic and financialanalysis of companies, and for banking sector analysis.
She has completed a number of specialized training courses ininternational financial reporting standards, company valuation,derivatives and an investment advisor course.
Prof. dr hab. Robert Władysław Ciborowski - an economist, from the startof his scientific career closely involved with the University ofBiałystok.
Senior Lecturer at the University of Białystok and a visiting Lecturerat universities in Poland and many European countries (Belgium, Italy,Hungary and England). He completed scientific internships at theUniversity of Sussex, Science Policy Research Unit (SPRU), Brighton inEngland. He has authored in over 70 publications in the field ofeconomics.
He participated both as an expert and coordinator in various researchand implementations projects at regional (e.g. Regional Strategy forInnovation, e-Sudovia), national (e.g. TR@NSPOD - Partnership forDevelopment in Podlaskie voivodeship, E-Podlaskie - Development Paths ofthe digital society in Podlaskie voivodeship) and international levels(e.g. Industry as as a Stimulator of Technology Transfer dla NATO, VBNInnoReg, REDIS, U-Know). They encompassed such areas as economicdevelopment, innovation and transfer of technology. An author of aseries of expert opinions in those areas. He has also carried out anumber of national and international feasibility studies and economicanalysis for the private sector.
He is an experienced supervisory board member and sat on the boards forPGE Dystrybucja Białystok (2009-10), PKS Białystok (2011-14) andBiałystok Radio (2014-16).
A member of the Polish Economy Society and the Mises Institute.
He has extensive experience of managing higher education. He worked as adean of the faculty of Economics and Management at the University ofBiałystok (2005-2012). Currently, he holds the post of the Chancellor ofthe University of Białystok (2016-now).
In the resolution of the Extraordinary General Meeting of the Bank onthe dismissal of Mr. Tomasz Baum, the reasons for the dismissal were notstated.
Ms. Iwona Brzozowska-Poniedzielska and Mr Robert Ciborowski declaredthat:
- the don't conduct any business competitive to the business of the Bank;
- they don't participate in any business competitive in respect of theBank as a partner in a civil-law partnerships or a partnership;
- they are not members of a body of a capital company competitive to theBank;
- they are not members of any other governing body of legal personcompeting with the Bank;
- they are not registered in the National Debt Register.
