Sub: Intimation regarding appointment of Cost Auditors.

Ref: Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

We refer to our letter dated March 19, 2024, whereby intimation was given about the resignation of M/s. RA & Co., as Cost Auditors of the Company for the financial year ended March 31, 2024 consequent to inheritance of the Company’s shares by Mr. Rasesh Chokshi, one of the Partners of the firm.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, (‘SEBI Listing Regulations’) we hereby inform you that, upon recommendation of the Audit Committee, the Board of Directors of the Company has appointed M/s. Kishore Bhatia & Associates as Cost Auditors for the financial year ended March 31, 2024, to fill the casual vacancy caused by the resignation of M/s. R.A.& Co.

The said appointment of M/s. Kishore Bhatia & Associates is in compliance with Section 141 and Section 148 of the Companies Act, 2013 and other applicable provisions, if any, read with Companies (Cost Records and Audit) Rules, 2014. The remuneration payable to M/s. Kishore Bhatia & Associates shall be placed before the shareholders for ratification at the ensuing Annual General Meeting.

Additional details required to be disclosed pursuant to the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 read with SEBI Circular Nos. SEBI/HO/CFD/CFDPoD1/P/CIR/2023/123 dated July 13, 2023, and List/Comp/14/2018-19 dated June 20, 2018, are enclosed as Annexure A .
