Sub: Update on transfer and assignment of Pfizer’s unexpired leasehold rights in the land situated at Plot No. 16, Trans Thane Creek Industrial Area, Turbhe, Thane to Zoetis Pharmaceutical Research Private Limited.

Ref.: Regulation 30 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015.

The Company vide its letter dated November 1, 2023 (copy enclosed) had informed the Stock Exchanges that it had entered into an Agreement with Zoetis Pharmaceutical Research Private Limited (“Zoetis”) to assign and assume the unexpired lease of Company’s land admeasuring approximately 82,000 sq. mtrs. situated at Plot No. 16, Trans Thane Creek Industrial Area, Thane (“Land”) and sale of structures and buildings having total built-up area of approximately 16,494.33 sq. mtrs. constructed thereon (“Buildings”), subject to necessary approvals from concerned regulatory authorities, including the Maharashtra Industrial Development Corporation (“MIDC”).

We hereby inform that the Company has received the requisite approval from MIDC on January 31, 2025 (“Transfer Order”). The Company will take steps to complete the transaction by: (a) assigning its unexpired leasehold rights in the Land and (b) transferring its ownership rights in the Buildings, in favour of Zoetis, in accordance with the Transfer Order issued by MIDC.

Sub: Agreement to Assign and Assume the Lease of MIDC Land and Sale of Building constructed on such Land for transferring and assigning Pfizer’s unexpired leasehold rights in the land situated at Plot No. 16, Trans Thane Creek Industrial Area, Turbhe, Thane to Zoetis Pharmaceutical Research Private Limited.

Ref: Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“LODR Regulations”), we wish to inform you that, pursuant to the approval of Board of Directors of the Company dated November 1, 2023, the Company has entered into an Agreement to Assign and Assume the Lease of MIDC Land and Sale of Building constructed on such land for transferring and assigning Pfizer’s unexpired leasehold rights in the land admeasuring approx. 82,000 sq. mtrs. situated at Plot No. 16, Trans Thane Creek Industrial Area, Turbhe, Thane (“Land”) and sale of structures and buildings having total built-up area of approx. 16,494.33 sq. mtrs. constructed thereon (“Buildings”), to Zoetis Pharmaceutical Research Private Limited, for a lumpsum consideration of Rs. 264.40 Crores (Rupees Two Hundred Sixty-Four Crores and Forty Lakhs only).

The said transfer of unexpired leasehold rights in the Land and sale of Buildings thereon, shall be subject to requisite approvals from concerned regulatory authorities, including the Maharashtra Industrial Development Corporation.
